CONSTITUTION AND BY- LAWS

CONSTITUTION

 

ARTICLE I -- NAME

 

Section 1.  The name of this organization shall be PAINTED POST FIELD AND STREAM CLUB, INC.

 

Section 2.  The principal office of this organization shall be located at 320 BEARTOWN ROAD,

                  PAINTED POST, NEW YORK 14870.

 

ARTICLE II -- AFFILIATION

 

                 This organization shall be and is hereby affiliated with the Steuben County Federation of  

                 Conservation Clubs, Inc. the National Rifle Association and the New York State Rifle &                                                            

                 Pistol Association. The club is subject to the Constitution and By-laws of these bodies in so        

                 far as they affect and prescribe the function of the local club.

                                                                   

ARTICLE III -- PURPOSE

 

  The purpose of this organization shall be to provide a place for constructive recreation for all our

                 Members and to promote in the community good sportsmanship whether by membership or                 

                 educational programs, shooting and outdoor recreation.

 

ARTICLE IV -- MEMBERSHIP

 

Section 1.  Any citizen of good character eighteen (18) years of age and older is eligible for regular                 

                  membership in the club.

 

Section 2.  Membership in this organization shall consist of five (5) classes;  Regular, Indoor range key,

                 Honorary Life, Service, and Associate, as defined in the by-laws.

                   

ARTICLE  V -- GOVERNMENT

 

Section 1.  The government of this organization shall be vested in a Board of Directors, Consisting of eight (8)

                    Directors, the Officers and the Immediate Past President.  Said Officers shall be President, Vice President,

                  Secretary, and Treasurer.

                 

 

Section 2.  The Officers and Directors of this organization shall be elected in a manner prescribed in the By-

                    laws. The officers shall hold office for a period of one (1) year. The directors shall hold office          

                  for a period of  two (2) years, with four (4) elected each year, or until their successors are duly

                  elected and qualified.

 

ARTICLE VI – AMENDMENTS

 

                 This Constitution may be amended by:                             

                 (a) The membership must be notified of proposed amendments one (1)  month prior to a members’                     

                       meeting.

                   (b) Discussion of the proposed amendments shall take place at the members’ meeting following                    

                       the above notification.

                   (c) Voting on the proposed amendments shall take place at the member’s meeting following step (a).    

                 (d) Amendments shall be approved by two-thirds (2/3) of the votes cast, including proxy votes.                                  

 

 

BY-LAWS

 

ARTICLE I -- MEMBERSHIP

 

Section 1.  Any Citizen of good character, eighteen (18) years old or older may hold regular membership in            

                  this organization.

 

Section 2.  All applications shall be in writing and must be accompanied by dues and assessments in              

                  advance for the year.

 

Section 3.  All applications for membership should be sponsored by a Member and all applicants must be        

                  accepted by a majority of the Board of Directors.

 

Section 4.  Membership classes are as follows:

 

                4.1  Regular membership is an annual dues paying member and is entitled to have in their                      

                     accompaniment their spouse and children under eighteen (18) years of age.

 

                4.2  Key membership entitles any member of record who is twenty-one (21) years old or older to a         

                     key to the indoor range. This privilege must be purchased in addition to a membership.                 

                     Associate memberships may purchase only one (1) key.

 

                4.3  Honorary Life Membership may be proposed for any past or present member to the Board of      

                     Directors. Such memberships are full memberships and generally bestowed because of some      

                     unique or meritorious service to the club.

 

                4.4  Service membership will be extended by the Board of Directors to any club member upon

                     entry into active duty service in the armed service of the United States. Such memberships

                     are full memberships and will remain in effect until the member returns to civilian life.

                  

                4.5  Disabled Veterans membership applications may be made for a service related disability membership discount.

                   Such discounts will be considered at the discretion of the board. 

 

            4.6  Associate memberships may be offered by the Board of Directors to any organized group that

                     the Board believes shares the direction, goals and spirit of the Club, if the Board feels that        

                     granting such a membership will be of mutual benefit.  Organizations could include but are

                     not limited to conservation and law enforcement groups.  Such memberships are limited

                      memberships for the individuals involved, insomuch as one full vote by the member listed as

                      the regular membership.  Individual associate members may have full use of the outdoor range

                      while pursuing the goals of his or her organizations.  Such activities include range time required

                      for qualification purposes, maintaining proficiency, etc.  Associate members may not extend

                      range privileges to guests or family members

 

 Section 5.  Any member is entitled to have guest(s) at the club. Any guest(s) must be accompanied by a member

                   at all times. The member will be responsible at all times for his/her guest(s) actions while on club

                    property. For any violation(s) by the guest(s), the member may be subject to Article 1, Section six (6)

                    of these By-Laws.

 

 Section 6.  Any member who violates club safety rules or takes action deemed detrimental to the welfare of

                   the club may have his/her case reviewed by the Board of Directors who will decide upon his/her

                   continued membership in the club.

                 

Section 7.  Voting rights: All Regular, Key, Honorary Life and Service members shall have full voting

                   rights at membership and election meetings (one vote per membership except in cases where

                   the member and spouse are both members of the board, shall each have one vote), so long as said 

                   members meet the minimum age requirements of eighteen (18) years of age and are not

                   excluded by Article II, Section 2 of these BY-LAWS.  All Associate memberships will have

                   one (1) vote only, which shall be exercised only by the delegated representative of the

                   organization.

 

ARTICLE II -- DUES & ASSESSMENTS

 

Section 1.  The annual Dues and Assessments for membership shall be as follows:

                  Regular membership -- Dues ten dollars ($10.00), Assessments, thirty-five ($35.00): Total $45.00

                    Senior (62 years and older)  -- Dues ten dollars ($10.00), Assessments, twenty-five dollars  

                  ($25.00): Total $35.00. 

                  Key membership – Twenty-five dollars ($25.00), assessment in addition to another class of

                   membership, (inclusive of those dues and assessments).  Key membership will be subject to the

                 successful completion of the "Indoor Range Safety Course".                                                                      

 

Section 2.  Beginning October 1st memberships may be sold for fifteen dollars ($15.00), along with a

                 Regular or Key Membership for the next full year. These will be considered full memberships

                 except to vote or hold office until the commencement of their full membership term, (January  1

                 to December 31). This option may be exercised only once.  

 

Section 3.   Associate membership to be determined by “Article I, section 4.6” of these by-laws.  Dues will be

                One regular or key membership for the first member, and Five dollars ($5) for each additional member 

 

Section 4.  Disabled Veterans may apply to the Board of Directors for a service related disability membership discount.

                 This discount to be determined by “Article I, section 4.5: of these by-laws.                                                                                                                                                                                                                                                                                                                                  

 

ARTICLE III -- GOVERNMENT

 

Section 1.  The government of this organization shall be vested in the Board of Directors, consisting of the

                  Officers and eight (8) Directors, said Officers to be Immediate Past President, President, Vice

                  President, Treasurer, and Secretary.

 

Section 2.  The Board of Directors shall have control of the property and management of the organization,

                   subject to the will of the Membership. Funds of the organization shall be withdrawn from the  

                   bank or banks with which they are on deposit by signature of the Treasurer, as directed by the

                   Board.

 

Section 3.  Vacancies in the Board of Directors or in any office shall be filled by a majority vote of the  

                  Board of Directors, such appointees to serve the remainder of the year. The balance of that

                   term, if any, will be filled with a one (1) year term at the December elections.

 

ARTICLE IV -- ELECTIONS

 

Section 1.  Not less than sixty (60) days prior to December’s annual members’ meeting elections, the

                  President shall appoint, with approval of the Board of Directors, a Nominating Committee 

                  consisting of not less than three (3) members.

 

Section 2.  The Nominating Committee shall, not less than ten (10) days prior to December's annual

                  election, decide upon and recommend to the members, in the Newsletter, the names of the

                  candidates for election. At least two (2) persons should be nominated for each office, if

                  possible.

 

Section 3.  No member of the Nominating Committee shall be nominated for any office by action of the

                 Nominating Committee.

 

Section 4.  The Nominating Committee shall select nominees for each expiring Directorship to serve for a

                  term of two (2) years and for each Officership to serve for a term of one (1) year. These  

                  nominees must be members in good standing.                

                  

Section 5.  Additional members in good standing may be nominated as Officers and Directors, from the

                  floor, at the time of the annual election.

 

Section 6.  At the annual election, there will be elected a President, Vice President, Treasurer, Secretary,

                  and Directors for all open positions.

 

Section 7.  Voting shall be by secret ballot and no member shall cast more than one (1) ballot; valid     

                  proxies shall be accepted.  To be considered valid, the proxy must be submitted in writing      

                  prior to the election to the chairman of the Nominating Committee. Proxy ballots must be        

                  in a sealed envelope signed by the member across the seal. Election for each office shall be

                  by simple majority.

 

Section 8. The Nominating Committee shall conduct the elections, soliciting additional assistance as

                 required. All ballots shall be kept for a period of sixty (60) days.

 

Section 9.  Officers and Directors shall take office at the Board meeting the first Thursday in January and

                  hold office until duly replaced.

 

ARTICLE V -- MEETINGS

 

Section 1.  The annual meeting of the organization shall be on the second Thursday of December at the

                   regular membership meeting.

 

Section 2.  The organization shall hold a regular monthly Board of Directors meeting on the first Thursday

                  of each month at 7:00 P. M. Membership meetings will be held on the second Thursday of each

                  month at 7:00 P.M. at the discretion of the Board of Directors.      

 

Section 3.  Special meetings may be called at any time by the order of the President, Immediate Past

                  President, or by written request of any ten (10) members submitted to either of these officers.

 

Section 4.  At any regular or special membership meeting seven (7) Board of Directors shall constitute a

                  quorum.                

                                     

ARTICLE VI -- DUTIES OF OFFICERS

 

Section 1. The President shall preside over all meetings of the club and also enforce all laws and regulations

                 of the club. The President shall tender an Annual Report and perform such other duties as may

                 be imposed upon him by resolution of the Board of Directors .

                  

Section 2.  In the absence of the President, the Vice-President shall act as the President with like authority.

                   The Vice - President shall also be program chairperson. His duties as chairperson shall be

                 arrangement of entertainment.

 

Section 3.  The Secretary shall have charge of all records of the club, attend to giving notices, duly record

                  all activities, keep record of attendance and perform such other duties as are common to

                  that office. The Secretary shall also be publicity chairperson.         

 

Section 4. The Treasurer shall be responsible for the funds of the club and shall be authorized to pay the

                 club’s utility bills, (gas, telephone and electric).  In addition, the Treasurer is authorized to

                 disburse petty cash up to and including fifty dollars, ($50.00) for immediate emergency

                 purposes only. The Treasurer shall recognize bills of petty cash only if incurred by an Officer of

                 the Board of Directors or Committee Chairperson of an activity requiring funding. Any

                 expenditure exceeding fifty ($50.00) must be approved by the Board of Directors. The Treasurer

                 shall at each regular meeting of the club and at such other times as directed by the Board of                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                       

                 Directors make a written report of the receipts and disbursements, showing a current balance on

                 hand. The Treasurer shall prepare all financial records for an annual review by the end of the fiscal year.

                                                                                                                                                                                                                  

Section 5. Each member of the Board of Directors shall attend 75% of the Board of Directors meetings to

                  keep his active status on the Board of Directors.  If a Board member is terminated or resigns,    

                  his vacancy shall be filled as prescribed in these By-Laws, under the Government section.

 

ARTICLE VII -- COMMITTEES

 

Section 1.  The Board of Directors shall determine the Committees deemed proper and necessary to fulfill

                  the objective and purpose of the organization.

 

Section 2.  All Committee Chairpersons, Vice Chairpersons and members shall be appointed by the

                  President, subject to the approval of the Board of Directors.

 

Section 3.  All Chairpersons and Vice Chairpersons of events and committees must be members in          

                  good standing.                                                                                                                                                                 

 

Section 4.  The President shall be an Ex-Officio member of all committees

 

ARTICLE VIII -- RULES OF ORDER

 

    Roberts Rules of Order shall govern the proceedings at all meetings of the organization and its

                    constituent parts except as provided in these By-Laws.

 

ARTICLE IX -- DELEGATIONS

 

                  Delegations or Special Committees shall be appointed by the President, subject to the approval

                  of the Board of Directors.

 

ARTICLE X -- AUTHORITY TO BIND

 

                  No member of this organization shall contract or incur any debt or enter into any agreement, or

                    otherwise obligate this organization, except by authorization of the Board of Directors subject to

                    the will of the membership.

 

ARTICLE XI -- POLICY

 

                  The operating rules and regulations of the club will be compiled, kept current and posted by the

                  club Secretary.  These operative rules and regulations cover such items not specifically

                  included in the Constitution and By-Laws, but which have been established by the Board of   

                  Directors.
